Joe Kinnear claims Newcastle owner Mike Ashley offered him a two-year deal to return as manager, which he rejected as he continues to recover from surgery.
Kinnear has been sidelined since a triple heart bypass operation in February and in his absence Newcastle were relegated from the Premier League.
"I told him I'm not going back to football until at least another three months," Kinnear told BBC Sport.
"If Newcastle feel they need to get another manager, then so be it."
As Kinnear recuperating, former Newcastle striker Alan Shearer took over as manager until the end of the season but he could not save the club from dropping into the Championship.
To add to the air of confusion, Ashley is trying to sell the club and until Newcastle's future is sorted out, Chris Hughton and Colin Calderwood will be in charge of the first team.
Shearer has admitted he has no idea if he will be appointed Newcastle boss on a full-time basis while uncertainty over the club's ownership persists.
He is likely to be at Newcastle's Championship opener at West Brom on Saturday - but working for the BBC as part of its live coverage.
Meanwhile, Kinnear said he had been given the all-clear by the specialist and planned to return to management "as soon as I get the opportunity," but he wants to pace himself.
"I've been offered a two year contract - it's something I'm mulling over at the present time." he added.
"It was about two weeks ago - I was due to go back for pre-season friendlies as manager but I told him I wasn't up to it for medical reasons.
"I need to take time out and reassess the situation, then take it from there. In another three months, the picture might be completely different."

A bet with Newcastle owner Mike Ashley led to club managing director Derek Llambias running naked across the pitch at St James' Park.
The two men went head to head, during an after-match party, following Newcastle's victory over Reading last weekend, when the Toon Army were sent into raptures by a hat-trick from striker Shola Ameobi.
And Llambias came off worse, Ashley forcing him to take off all his clothes before treading the turf at Newcastle's legendary home.
The men were celebrating Newcastle's impressive start to the season, which they continued yesterday with a 2-0 win at Crystal Palace, that leaves the Geordies joint-top of the Championship, so soon after they were relegated from the Premier League.

Almost a year to the day that he was signed in a £5.7m deal from Deportivo La Coruna, Newcastle have agreed a one season loan with Racing Santander for Xisco - subject to a medical.
The 23 year-old former Spanish U21 international has made two substitute appearances for United this season, adding to the four starts and three calls from the bench in the last campaign. He scored once, at home to Hull City.
To allow a so-called striker to leave at a time when the club have injury concerns in that department seems a baffling decision, but the opportunity to ship out one of our major earning non-performers is presumably one that's too good to turn down.
And it's also expected that reserve centre forward Fabio Zamblera will be moving on in the near future, with Sky Sports reporting that Roma are negotiating for the 19 year-old Italian youth international.
Zamblera failed to make any impact at all on Tyneside and spent part of last season in a similarly unimpressive loan at Sampdoria.
Inbound - it remains to be seen whether the rumoured loan arrival of Everton's James Vaughan follows the departure of Xisco.
Meanwhile there are claims that Peter Lovenkrands is set to remain in the Premiership by signing a contract with Birmingham City. And the latest youngster linked with a loan move to Newcastle is Manchester United's Northern Ireland defender Craig Cathcart.
Newcastle's Interim Manager Chris Hughton has been voted the Coca Cola Championship Manager of the month award for August.
Hughton beat off competition from Kevin Blackwell of Sheffield United, Preston's Alan Irvine and Robert di Matteo of West Brom

Thursday saw United complete a further loan signing, taking Blackburn Rovers defender Zurab Khizanishvili on a three month contract.
The 27 year-old Georgian international has made just one appearance for Sam Allardyce's side this season, in their Carling Cup victory over Gillingham - meaning that he'll be ineligible for our tie at Peterborough next week.
Chris Hughton told the official website:
"Zurab is an experienced defender and we're very pleased to get him on board. He knows English football very well and will be a valuable addition to the squad over the coming months."
Marlon Harewood's agent has confirmed the Aston Villa striker is poised to join Newcastle on loan.
Newcastle have lined up a move for Harewood as they seek to bolster their attacking options after losing Shola Ameobi to long-term injury.
The Magpies tried to sign Harewood during the transfer window only for a foot injury to delay any move.
Harewood is now back to fitness and is keen to be playing regular first-team football after finding himself well down the pecking order at Villa Park.
The striker's representative, Phil Sproson, confirmed Harewood is keen on a move to Newcastle and is hopeful of finalising a deal later this week.
"I believe we are close to agreeing everything and hopefully the move can be finalised later this week," Sproson told skysports.com.
"Talks are ongoing between both clubs and I think they are keen to get it resolved.
"Marlon is back to fitness now and he is ready and raring to go.
"Marlon is very keen on going to Newcastle and playing regular first-team football again."

Former Newcastle manager Kevin Keegan has been awarded £2m damages plus interest after winning his case against the club for constructive dismissal.
The panel agreed that in signing Uruguayan midfielder Ignacio Gonzalez, against Keegan's wishes, the club were in breach of a term in his contract.
It was also agreed that Keegan would receive no further damages.
Keegan parted company with the club, owned by businessman Mike Ashley, in September 2008.
A relieved Keegan said in a statement: "I am delighted that the Premier League manager's arbitration tribunal has today formally announced that it has upheld my claim for wrongful dismissal against Newcastle United.
"The tribunal has found the conduct of the club in forcing a player on me against my wishes represented a fundamental breach of my contract of employment.
"I do not believe that there is any manager in football who could have remained at the club in the light of their conduct.
"I also want to confirm that a central purpose of my claim has always been to clear my name and restore my reputation.
"I consider it of vital importance that I was able to let people know about the full circumstances of my resignation and the way in which I had been treated by the club. I hope that this purpose has now been achieved."
Newcastle refused to comment on the case, merely reporting the panel's decision and publishing the official report.
The transfer of Gonzalez features heavily in the report, as does the relationship between Dennis Wise, Tony Jimenez and Ashley with Keegan.
In particular, the report concludes that the deal to bring Gonzalez to the club, on a loan basis, was "in the commercial interests of the Club."
The report continued: "The 'commercial interests', according to the club, were that the signing of the player on loan would be a 'favour' to two influential South American agents who would look favourably on the club in the future.
"The loan deal cost the club nearly £1m in wages for a player who was not expected to play for the first team but no payment was made by the club to the agents in respect of the deal."
It was Ashley who brought Keegan back to Newcastle for his second spell in charge at St James' Park in January 2008, following the termination of Sam Allardyce's contract.
The report states that Keegan was offered a deal which was worth an initial £3m per annum for three-and-a-half years, a figure which was the basis behind his initial damages claim in the region of £8.5m for his agreed spell in charge, and a reported figure in the region of £25m for the length of his career in football before retirement at the presumed age of 65.

NEWCASTLE United are delighted to announce that Chris Hughton has been named the permanent manager of the Club, his contract will run until the end of the 2010/11 season.
At the same time the Club has confirmed that it has been withdrawn from sale and is no longer on the market.
The Club had been trying to broker a deal with a number of prospective buyers in recent months however none of those deals came to fruition. With regard to the possible sale of the Club to Barry Moat, that particular bid has now fallen through due to the cash price of £80m not being met.
In confirming the news, Mike Ashley stated that he is totally committed to the future success of Newcastle United and will be focussing on gaining promotion back to the Premier League. Mike will put a further £20m into the Club this week.
Derek Llambias, Managing Director of Newcastle United, said:
"We are delighted that Chris has accepted the post of full time manager. He has done a terrific job this season and we wish him every success for the rest of this season and beyond. He will continue to receive our full backing and support."
And Chris Hughton added:
"It is a very proud day for me to be named as the manager of this magnificent football club. I thank Mike and Derek for their support and will be doing everything in my power to get the Club back into the Premier League at the first time of asking.
"Having the unequivocal backing of the players has helped me enormously and I would also like to thank Colin Calderwood, Paul Barron and the rest of the backroom staff who have never been anything but tremendously supportive to me this season."
Whilst confirming these two matters, Newcastle United now aims to move forward on and off the pitch. The Club aims to maximise its commercial revenues; this includes renegotiating its Club sponsor and kit deal, which expire at the end of this season, as well as welcoming offers for the stadium naming rights for next season.

Sol Campbell has revealed he is interested in joining Newcastle.
The 35-year-old former England defender left League Two side Notts County last month after only one appearance and is now trying to find another club.
"Newcastle are a big club and could be heading back to the Premier League," he told ESPN Soccernet. "It appeals."
Campbell, who left Portsmouth in May, cannot join another team until County release his registration, which is the subject of ongoing negotiation.
The Meadow Lane club are refusing to release Campbell's registration so he can sign for another club until he agrees on a "statement of departure".
Professional Footballers' Association chief executive Gordon Taylor says County are keen to stop Campbell discussing matters relating to the club's ownership.
Campbell, who left County less than a month into a five-year deal, has been training with former employers Arsenal and is considering taking his case to a Football League tribunal.
He added: "I have been approached by several clubs, and yes, it is correct to say that Newcastle are one of them.
"People might be surprised to hear me say that I would be very interested in a move there, but I have my reasons.
"I have spoken with Gordon Taylor and he will impress upon the League the urgency of the case and try to make a tribunal hearing a priority. If we can sort it all out at the tribunal I would hope to be playing within weeks from now.
"I am training every day with Arsenal, feel fit - as fit as ever - and now I really need some matches. But, to sort out the mess at Notts County, a Football League tribunal seems to be the only way out."

Newcastle United have announced their stadium will be known as the sportsdirect.com @ St James' Park Stadium for the immediate future.
The news comes after an announcement from owner Mike Ashley that the stadium sponsorship rights were up for offer from prospective businesses.
His company will occupy the space as a showcase for other potential sponsors.

Newcastle midfielder Kevin Nolan has been named the PFA November Championship Fans' Player of the Month, taking the prize for the second month in succession.
The former Bolton man has been in brilliant goalscoring form for the table-topping Magpies this term and his match-winning strike against Preston just over a week ago took his seasonal tally to nine - with eight of those coming in the league.
The 29-year-old has had plenty of praise heaped on him this season but, while delighted to receive personal recognition, his ultimate aim is to help Newcastle return to the Premier League at the first time of asking.
Nolan, who beat off competition from team-mates Alan Smith and Steve Harper, as well as Swansea midfielder Darren Pratley, said: "On a personal note, hopefully the awards will keep coming and if that happens, it will mean I am probably scoring goals and the team is winning matches.
"If I can keep popping up with goals here and there, and match-winning ones are more pleasing, then great. But I would rather win every game between now and the end of the season and not score at all.
"It is nice when you score a goal and we win, and hopefully I can continue to do that but, if not, if we keep winning - that is the main thing.
"With the quality we have in the side we know we are going to get opportunities. West Brom are doing well and scoring goals but we have to keep going and plugging away.
"Hopefully we will start to open that gap away from the rest. I think there'll be a few teams up there, don't get me wrong, but it's up to us and West Brom to try and make a push to get away from them."
NEWCASTLE United have lost their shirt sponsorship deal with sportswear giants Adidas.
The end of the association with the high-profile company goes back 14 years and has come as a financial blow to Newcastle owner Mike Ashley.
It is believed Adidas have become disillusioned with the negative publicity which has surrounded the club since Ashley took over.
They were quick to distance themselves from stories linking them with Ashley’s controversial plan to re-name St James’ Park.
Now they have decided not to renew a contract with the Coca-Cola Championship toppers which ends in the summer. Newcastle will now join forces with Puma.
The Newcastle hierarchy wanted news of adidas’s departure delayed until after Christmas, as kit bought as presents will soon be out of date.
It’s understood the Puma deal will be less lucrative than with adidas and that adidas are on the verge of signing a contract with Spurs, ironically ending their tie-up with Puma.
Newcastle’s shirt sponsor deal with Northern Rock also ends in the summer.

Newcastle United have signed QPR winger Wayne Routledge on a three-and-a-half year deal for an undisclosed fee.
The 25-year-old had been a target for United's local rivals Middlesbrough, who made a bid for him last week.
Routledge joined QPR a year ago from Aston Villa for £600,000 and made 49 appearances, scoring seven times.
He began his career with Crystal Palace and has played in the Premier League for the Selhurst Park club, Tottenham, Portsmouth, Fulham and Villa.
The former England under-21 wideman first came to prominence with Palace in 2001-02, scoring on his first start and making his debut at the age of 17.
Having enjoyed five years with the Eagles, including one in the top flight under Ian Dowie's management, Routledge was signed by Tottenham for an undisclosed fee.
However his career at White Hart Lane was blighted by injury, and he made just five appearances in two and a half years, although loan spells with Portsmouth and Fulham proved reasonably successful, and in January 2008 he was picked up by Aston Villa for £1.25m.
Routledge struggled to impose himself on the team and following a loan spell at Cardiff City, joined the R's for £600,000 and had been a regular fixture in the side this season.
NEWCASTLE United have completed a loan deal until the end of the season for Queens Park Rangers defender Fitz Hall.
The 29-year-old was at the club's Benton headquarters on Friday morning and will go straight into the squad for this weekend's Championship clash at Leicester City.
Hall, who will take the No.5 jersey, joins former Loftus Road team-mate Wayne Routledge on Tyneside after his permanent switch earlier this week.
NEWCASTLE United have moved to snap up promising Chelsea youngster Patrick van Aanholt on a one-month loan deal.
The 19-year-old, like fellow loan arrival Fitz Hall, was on Tyneside on Friday morning and could make his debut at Leicester City this weekend.
The Dutch left-back spent the first half of this season at Coventry City and was part of The Sky Blues side which was beaten 2-0 by United in December.
Van Aanholt impressed on that night at the Ricoh Arena and, with 21 appearances, was a regular for Chris Coleman's men.
The 's-Hertogenbosch-born star, who signed for Chelsea from PSV Eindhoven in 2008, joins Holland Under-21 team-mate Tim Krul at St.James' Park.
He will wear the No.14 jersey for The Magpies.

Delighted with this loan siging - Enrique is injured and we badly needed someone in for that position. He looks like a cracking young player and he has experience in this league so hopefully should do well
Newcastle United have completed the deadline-day signing of Leon Best for an undisclosed fee from Coventry City.
The Republic of Ireland international has penned a three-and-a-half-year deal with The Magpies and will take the No.20 squad number.
Best has already netted nine Championship goals from 15 outings for The Sky Blues this season and was part of the side beaten 2-0 by United at the Ricoh Arena in December.
Nottingham born, the pacey frontman started his career at Southampton and made his senior debut on his 18th birthday against Newcastle - United 2-1 victors at the St.Mary's Stadium back in 2004.
During three years on the South Coast Best also enjoyed loan spells at Queens Park Rangers, Sheffield Wednesday, Bournemouth and Yeovil Town.
A move to Coventry followed in the summer of 2007 and he bagged nine goals during his maiden campaign with Iain Dowie's men.
Best's international bow came at the end of last season during a friendly with Nigeria and he has gone on to earn four caps.
He is re-united with former Southampton team-mates Fitz Hall and Mike Williamson, as well as Patrick van Aanholt who was on loan at Coventry earlier this year.
